3. Our NDA Terms

Our standard Mutual Non-Disclosure Agreement includes:

Standard Scope

  • Mutual Protection: Both parties' confidential information is protected
  • Duration: Typically 1-3 years from signing (negotiable)
  • Definition: Covers all information disclosed orally, in writing, or digitally

Exceptions

Information is NOT confidential if it is:

  • Already in the public domain
  • Independently developed without reference to the disclosed information
  • Legally required to be disclosed (by court order, regulatory body, etc.)
  • Rightfully known to the receiving party before disclosure

Permitted Disclosures

We may disclose confidential information to:

  • Our employees and contractors who need to know the information to perform work
  • Legal/accounting advisors under professional confidentiality obligations
  • Government authorities if legally required (we will notify you unless prohibited)

Return of Information

Upon request or termination of discussions, we will return or destroy all confidential information, except:

  • Copies retained for legal compliance (archival only)
  • Information stored in automated backup systems (which we will delete upon request)

4. Types of NDAs Available

Mutual NDA

Both parties protect each other's confidential information. Most common for business discussions.

Unilateral (One-Way) NDA

Only one party's information is protected. Used when only you are disclosing sensitive information.

Customized NDA

If you have a corporate NDA template, we're happy to review and sign it, subject to our legal review.

5. How Long Does It Take?

Our standard mutual NDA can typically be signed within 24-48 hours. For customized agreements, please allow 2-5 business days for review by our legal team. We aim to move quickly while ensuring proper protection for both parties.

How long is the confidentiality period?

Our standard NDA has a 2-year confidentiality period. This is negotiable based on your needs. You can specify a different duration in your request.

Can I review the NDA before signing?

Absolutely! We'll send you the draft NDA for review before execution. You have up to 48 hours to review and suggest edits.

What if our discussion doesn't lead to a project?

The NDA remains in effect for the agreed duration, protecting both parties' confidential information regardless of whether a project agreement is signed.

8. Legal Information

Our NDAs are governed by the laws of India. Both parties can enforce the agreement in Indian courts if necessary, though we hope confidential discussions remain confidential without legal intervention.
